Terms of Use

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and GAB2XYZ Pte. Ltd. ("Company," "we," "us," or "our") governing your access to and use of the Gabet mobile application (the "App").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

This agreement is between you and GAB2XYZ Pte. Ltd. only, and not with Apple Inc. ("Apple"). GAB2XYZ Pte. Ltd., not Apple, is solely responsible for the App and its content.

2. Apple App Store Terms

The following terms apply to your use of the App if you downloaded it from the Apple App Store:

2.1 License Scope

The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

2.2 Maintenance and Support

GAB2XYZ Pte. Ltd. is solely responsible for providing any maintenance and support services with respect to the App, as specified in these Terms or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

2.3 Warranty

GAB2XYZ Pte. Ltd. is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be GAB2XYZ Pte. Ltd.'s sole responsibility.

2.4 Product Claims

GAB2XYZ Pte. Ltd., not Apple, is responsible for addressing any claims you or any third party may have relating to the App or your possession and/or use of the App, including but not limited to:

• Product liability claims
• Any claim that the App fails to conform to any applicable legal or regulatory requirement
• Claims arising under consumer protection, privacy, or similar legislation, including in connection with the App's use of HealthKit and HomeKit frameworks (if applicable)

2.5 Intellectual Property Claims

In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, GAB2XYZ Pte. Ltd., not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

2.6 Legal Compliance

You represent and warrant that:

• You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country
• You are not listed on any U.S. Government list of prohibited or restricted parties

2.7 Third-Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using the App. For example, if you use a VoIP application, you must not be in violation of your wireless data service agreement when using the App.

2.8 Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

3. Eligibility

You must be at least 13 years of age to use the App. By using the App, you represent and warrant that you meet this age requirement.

If you are under 18 years of age, you represent that you have your parent or guardian's permission to use the App and that they have read and agree to these Terms on your behalf.

4. Account Registration

To use the App, you must create an account using a valid email address and password. You agree to:

• Provide accurate and complete registration information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to disable any account at any time if we believe you have violated these Terms.

5. Description of Service

Gabet is a personal finance tracking application that allows you to:

• Log and categorize income and expenses
• Track recurring transactions
• View spending breakdowns and reports
• Create and manage spending categories
• Collaborate with others in shared spaces
• Use AI-powered features for transaction categorization and receipt extraction

6. Subscription and Payments

6.1 Free and Paid Tiers

The App offers both free and paid subscription tiers:

• Free Tier: Limited AI-powered message processing credits per month
• Gabet Plus: Enhanced AI credits and additional features

6.2 Payment Processing

All payments are processed through Apple's App Store. By subscribing to Gabet Plus, you agree to Apple's terms and conditions for in-app purchases.

6.3 Refunds

All refund requests are handled by Apple in accordance with their refund policies. To request a refund, please contact Apple directly through your purchase history or the App Store.

6.4 Subscription Cancellation

You may cancel your subscription at any time through your Apple ID settings. Cancellation will take effect at the end of your current billing period.

7. User Content and Conduct

7.1 Your Content

You retain ownership of all content you submit to the App, including transactions, messages, and photos. By submitting content, you grant us a limited license to store, process, and display your content solely for the purpose of providing the App's services.

7.2 Prohibited Conduct

You agree not to:

• Use the App for any illegal purpose or in violation of any laws
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to the App or other users' accounts
• Interfere with or disrupt the App's functionality
• Use automated systems or bots to access the App
• Abuse, spam, or misuse AI-powered features
• Reverse engineer, decompile, or disassemble the App
• Use the App to harass, threaten, or harm others

7.3 Your Responsibility for Content

10.1 Our Intellectual Property

The App, including its design, features, code, graphics, and trademarks, is owned by GAB2XYZ Pte. Ltd. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our written consent.

10.2 Your Data

You retain all rights to your personal data and content. We claim no ownership over your financial data, transactions, or other content you create in the App.

11. Privacy

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Account Suspension and Termination

12.1 Termination by You

You may request to delete your account at any time by emailing support@gab2.xyz from your registered email address.

12.2 Termination by Us

We may suspend or terminate your account:

• Immediately and without notice if you violate these Terms, abuse our services, or engage in fraudulent activity
• With 30 days notice for any other reason, including discontinuation of the service

12.3 Effect of Termination

Upon termination:

• Your right to use the App will immediately cease
• Your subscription will be cancelled (no refund for the current period)
• Your data will be deleted in accordance with our Privacy Policy

13. Data Export

If we terminate your account with notice (not for Terms violations), you will have 30 days from the termination notice to export your data through the App before it is permanently deleted.

If your account is terminated immediately for Terms violations, you will not have access to export your data.

14. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF DATA
• UNINTERRUPTED OR ERROR-FREE SERVICE

We do not warrant that the App will meet your requirements or that any errors will be corrected.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR SGD $100, WHICHEVER IS GREATER

These limitations apply regardless of the legal theory on which the claim is based.

16. Indemnification

You agree to indemnify, defend, and hold harmless GAB2XYZ Pte. Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your content submitted to the App

17. Dispute Resolution

17.1 Informal Resolution

Before initiating formal dispute resolution, you agree to first contact us at support@gab2.xyz to attempt to resolve the dispute informally.

17.2 Binding Arbitration

If we cannot resolve the dispute informally within 30 days, any dispute arising from these Terms or the App shall be resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules.

• The arbitration shall be conducted in Singapore
• The language of arbitration shall be English
• The arbitrator's decision shall be final and binding

17.3 Class Action Waiver

17.4 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

19. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms in the App
• Updating the "Effective Date" at the top of these Terms
• Sending you a notification through the App (for significant changes)

Your continued use of the App after changes become effective constitutes your acceptance of the updated Terms.

20. General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App.

20.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

20.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

20.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
